PLEASE CAREFULLY READ THESE TERMS OF SERVICE BEFORE APPLYING FOR A TRUE RIDE CAPITAL PRODUCT OR SERVICE. THESE TERMS AND CONDITIONS ARE A BINDING CONTRACT THAT GOVERNS USE OF TRUE RIDE CAPITAL’S PRODUCTS AND SERVICES, EXEMPTS TRUE RIDE CAPITAL AND OTHER PERSONS FROM LIABILITY, SPECIFIES THE JURISDICTION FOR THE RESOLUTION OF DISPUTES AND CONTAINS OTHER IMPORTANT PROVISIONS.

BY APPLYING FOR A TRUE RIDE CAPITAL PRODUCT OR SERVICE, YOU ACKNOWLEDGE AND SIGNIFY THAT YOU HAVE READ, UNDERSTAND AND AGREE TO THESE TERMS OF SERVICE. IF YOU DO NOT AGREE TO THESE TERMS OF SERVICE, THEN YOU MAY NOT APPLY FOR A TRUE RIDE CAPITAL PRODUCT OR SERVICE.

1. Your Acceptance of These Terms

True Ride Capital (“TRC” or “True Ride Capital”) operates the website www.trueridecapital.ca (the “Website”) that advertises or accepts applications for various products and services, such as powersports equipment financing, recreational vehicles, motorcycles, ATVs, snowmobiles, boats, RVs, side-by-sides, e-bikes, mobility scooters, extended warranties, insurance, and loans (collectively “Products and Services” and each a “Product” or “Service”, as applicable) provided by TRC.

These Terms are a binding agreement between you (on the one hand) and TRC (on the other hand) regarding your applications for Products and Services and your use of each Product or Service. By applying for a Product or Service, you signify your unconditional acceptance and agreement, without limitation or qualification, to the most current version of these Terms. If you do not unconditionally accept and agree to these Terms, then you may not apply for a Product or Service.

2. Changes to These Terms

TRC in its discretion may change these Terms at any time and from time to time, without any prior notice, by posting the changed Terms on the Website. The changed Terms are effective immediately on posting on the Website, unless the changed Terms expressly state otherwise. It is your responsibility to check the “Last Updated” date at the top of these Terms and review any changes since the previous version. You may not change these Terms in any manner.

By submitting an application for a Product or Service after these Terms have been changed by TRC, you signify your unconditional acceptance and agreement to be bound by the changed Terms.

3. Permitted Customers

Products and Services may be applied for and used only by individuals (natural persons) who are located in Canada, are the age of majority (which in most jurisdictions is either 18 or 19 years) in the jurisdiction in which they live and are capable of forming a binding contract under applicable law. Products and Services may not be applied for or used by individuals who are located outside Canada.

You may not submit an application for a Product or Service if you are not eligible to use the Product or Service as set out above, if you are prohibited by applicable law from using the Product or Service, if you do not accept and agree to these Terms, if you have breached these Terms or if TRC has prohibited you from applying for Products and Services.

Notwithstanding the foregoing or any other provision of these Terms, TRC reserves the right in its discretion and for its sole convenience to refuse to accept applications for Products or Services from you or any other person.

4. Permitted Use of Products & Services

You may use Products and Services for your own lawful, personal use for non-commercial purposes only and subject to these Terms and all applicable laws. Use of a Product or Service for any other purpose or in any other manner is strictly prohibited, except where specifically authorized by TRC for commercial or business applications.

5. Accurate Information

To apply for a Product or Service, you may be required to provide certain information about yourself (including your legal name, contact information, employment details, income information, and payment information) and give certain authorizations or instructions. You will ensure that all information you provide to TRC is true, accurate, current and complete, and you will update that information from time to time so that it remains true, accurate, current and complete.

TRC will rely on the information that you provide. TRC is not obligated to verify the truth, accuracy, currency or completeness of any information you provide, but TRC may do so in its discretion, and you hereby consent to TRC making reasonable inquiries and investigations that it considers appropriate to verify the information you provide.

You are and will remain solely responsible and liable for all loss, damage and liability (including additional costs) that you, TRC or any other person may incur as a result of your submission of any false, incorrect or incomplete information, your failure to promptly update your information if it changes, or any other breach of your obligations under this section 5.

6. Personal Information Privacy, Credit Reports and Bank Information

By applying for a Product or Service, you consent to the collection, use, disclosure and retention of your personal information by or on behalf of TRC as explained in the TRC Privacy Policy (available at: https://www.trueridecapital.ca/privacy-policy), as revised from time to time, and as otherwise permitted by applicable law.

When you apply for certain Products or Services (such as powersports equipment, vehicles, insurances, extended warranties or loans) provided by TRC, TRC may obtain, and continue to periodically obtain, your credit score and related information from a credit reporting agency to process or fulfill the transaction, and to update your confidential profile for use by TRC for purposes as set out in the TRC Privacy Policy.

If TRC refers you to an independent business (e.g. lender, dealer, insurance provider) for a proposed transaction (e.g. loan, purchase, insurance policy), then: (a) the independent business may request a credit report(s) or bank account information for any legitimate purpose associated with the proposed transaction; and (b) TRC may collect from that independent business information regarding the transaction to update your confidential profile for use by TRC and its affiliated companies.

7. Transactions

a. Misprints/Errors: TRC endeavours to provide current and accurate information on the Website and in communications relating to your applications for Products and Services, but misprints, errors, inaccuracies, omissions (including incorrect specifications for Products and Services) and other errors may sometimes occur. TRC reserves the right to correct any misprint, error, inaccuracy or omission at any time without prior notice or liability to you or any other person, and to change at any time Products and Services advertised on the Website, the interest rates, fees, charges and specifications of those Products and Services, any promotional offers and any other Website content, all without any notice or liability to you or any other person. If you submit an application for a Product or Service for which incorrect information was displayed on the Website, TRC will provide you with a reasonable opportunity to cancel your application.

b. Availability: Products and Services advertised on the Website may not be available when applied for or at any later time. If you apply for a Product or Service that is not available, TRC will notify you by email, phone, or text message. TRC reserves the right in its discretion to refuse or cancel any application you submit and to limit financing amounts available.

c. Interest Rates and Pricing: All interest rates, fees, and other amounts appearing on the Website are quoted in Canadian dollars, unless expressly indicated otherwise. TRC reserves the right to change interest rates and fees advertised on the Website at any time based on market conditions and creditworthiness assessments. The total cost of your loan will include the principal amount, interest charges, and any applicable fees. The interest rate, applicable fees and charges will appear on the completed loan documents.

d. Applications: The advertisements on the Website are invitations to make applications for financing and are not offers to lend. Your properly completed and delivered application constitutes your request for financing for the Products and Services referenced in the application. Your application will be deemed accepted by TRC when TRC confirms that your application has been approved and financing terms have been agreed upon.

e. Loan Approval: Your financing application constitutes a request to TRC for powersports financing, and such financing will be deemed approved when TRC confirms in writing that your loan application has been accepted and approved.

8. Powersports Financing Specific Terms

a. Financing Scope: TRC specializes in financing powersports vehicles including but not limited to ATVs, UTVs, side-by-sides, motorcycles, snowmobiles, personal watercraft, boats, RVs, travel trailers, e-bikes, mobility scooters, and related recreational vehicles and equipment.

b. Credit Assessment: TRC welcomes applications from borrowers with all credit types, including those with poor credit, fair credit, good credit, and excellent credit. Credit approval is based on multiple factors including but not limited to credit score, income stability, debt-to-income ratio, down payment amount, and vehicle value.

c. Vehicle Requirements: Financed vehicles must meet TRC’s age, condition, and value requirements. TRC typically finances vehicles up to 15-20 years old depending on the vehicle type and condition. All financed vehicles must maintain comprehensive insurance coverage with TRC named as lienholder.

d. Down Payment: Down payment requirements vary based on creditworthiness, loan amount, and vehicle type. Down payments may range from $0 to 25% of the vehicle value. Trade-in vehicles may be applied toward down payment requirements.

e. Loan Terms: Loan terms typically range from 12 to 84 months depending on the loan amount, vehicle type, and borrower qualifications. Interest rates are determined based on creditworthiness, loan terms, and current market conditions.

9. Technical Requirements and Technical Support

You are solely responsible and liable for obtaining, provisioning, configuring, maintaining, paying for, and protecting from loss and damage, all equipment (including compatible computing devices), software (e.g. Internet browser and PDF reader software) and services (including Internet access and mobile data services) necessary for your use of your Products and Services. TRC is not obligated to provide technical support, but may do so in its discretion. Your use of that technical support is governed by these Terms.

For greater certainty, electronic communications (including text messages) that you send to or receive from TRC may be subject to standard message and data rates charged by your service providers, and you are solely responsible and liable for payment of those charges.

10. Communications

You authorize TRC to: (a) accept communications it receives from you by means of SMS, email, phone calls, and online applications as if those communications had been given directly by you in writing and signed by you; (b) disclose your communications to its service providers, lenders, dealers, and affiliated companies; and (c) respond to your communications through the Website, by email, SMS, phone calls, or other means of communication.

Communications you send to TRC are not effective unless and until they are actually received and processed by TRC’s responsible representative. TRC may refuse to process any communications that you send to TRC, or may reverse the processing of any communications that you send to TRC, at any time in its discretion, and without notice or liability to you or any other person, if TRC believes the communication to be fraudulent or unlawful or defective, inaccurate or incomplete due to a technical malfunction.

You may opt-out of SMS and email marketing communications by (a) responding STOP to any SMS communications; or (b) unsubscribing from any automated email communications. However, you agree that TRC may continue to send you communications related to your loan application, existing loans, account servicing, payment reminders, and other transactional or relationship communications.

11. Referred Businesses, Referred Products/Services and Linked Sites

TRC may provide referrals to independent businesses, such as lenders, dealers, insurance providers, or extended warranty companies (each a “Referred Business”), and the Website and communications from TRC may include advertisements for products or services offered by a Referred Business (each a “Referred Product/Service”). Those referrals and advertisements do not guarantee that a Referred Product/Service will be offered or available to you as indicated or at all, or that you will qualify to purchase or receive a Referred Product/Service.

Referred Businesses are independent from TRC, and TRC is not responsible or liable for any Referred Business or any Referred Product/Service. Each Referred Business will provide its Referred Products/Services subject to a separate agreement between you and the Referred Business, and TRC is not a party to that agreement or any related transaction between you and the Referred Business.

12. DISCLAIMERS, LIABILITY EXCLUSIONS AND INDEMNITY

GENERAL DISCLAIMER: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PRODUCTS AND SERVICES ARE MADE AVAILABLE AND PROVIDED TO YOU ON AN “AS IS”, “AS AVAILABLE” AND “WITH ALL FAULTS” BASIS AND WITHOUT ANY REPRESENTATIONS, WARRANTIES, CONDITIONS OR GUARANTEES OF ANY NATURE OR KIND WHATSOEVER, WHETHER EXPRESS, IMPLIED OR STATUTORY.

LIABILITY EXCLUSION: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT AND UNDER NO CIRCUMSTANCES WILL TRC OR ITS AFFILIATES BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY LOSS, DAMAGE OR LIABILITY (INCLUDING DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL AND PUNITIVE DAMAGES) ARISING FROM, CONNECTED WITH OR RELATING TO YOUR USE OF, OR INABILITY TO USE, ANY PRODUCT OR SERVICE OR ANY RELATED MATTER.

INDEMNITY: YOU WILL DEFEND, INDEMNIFY AND HOLD HARMLESS TRC AND ITS AFFILIATES FROM AND AGAINST ANY AND ALL LOSSES, DAMAGES, COSTS, EXPENSES (INCLUDING LEGAL FEES), CLAIMS, COMPLAINTS, DEMANDS, ACTIONS, SUITS, PROCEEDINGS, OBLIGATIONS AND LIABILITIES ARISING FROM, CONNECTED WITH OR RELATING TO YOUR USE OF A PRODUCT OR SERVICE OR YOUR NEGLIGENCE, MISCONDUCT OR BREACH OF THESE TERMS.

13. Termination

These Terms as they apply to you will continue in full force and effect unless and until you cease using all Products and Services, and in those circumstances these Terms will continue to apply and be binding regarding your access to and use of Products and Services before termination and all related matters (including any related dispute).

14. Governing Law

These Terms, Products, Services and all related matters are governed by, and will be construed and interpreted solely in accordance with, the laws of the Province of Ontario, Canada and applicable federal laws of Canada, excluding any rules of private international law or the conflict of laws that would lead to the application of the laws of any other jurisdiction.

15. Disputes

You will commence legal proceedings regarding a Dispute within twelve (12) months after the Dispute arises, after which time any and all legal proceedings by you regarding the Dispute will be forever barred. Any shorter time limit provided by law remains unaffected.

16. General Matters

Complete Agreement: These Terms set out the entire agreement between you and TRC regarding your applications for Products and Services, your use of Products and Services and all related matters. These Terms may not be modified except as set out in section 2.

Language: You and TRC have expressly requested and required that these Terms and all related notices and other documents be drawn up in the English language. Les parties conviennent et exigent expressément que ce Contrat et tous les documents qui s’y rapportent soient rédigés en anglais.
